Some of our projects, such as Rice Harmony, are open to a small circle of investors who take a share of the project company instead of buying a physical property. This page explains what you hold, how the money comes back to you, and how you exit.

What you actually hold.

A company created for one project

Each project is carried by its own company, set up for that project alone. It holds the land rights, the buildings and the rental business. Nothing from another project is mixed into it.

Shares, not a title deed

As an investor you take a stake in that company, alongside Elper Development. You do not buy a villa or a plot in your own name, so there is no property title, notary transfer or foreign-ownership structure to set up on your side.

Elper stays majority and operational

Elper Development keeps the majority of the company and runs it: construction, licensing, rental operations and accounting. You share in the result without carrying the day-to-day.

How it works

How a project runs for an investor.

Discovery call

We walk you through the project, the company structure and the documents. You decide with the full file in hand, at your own pace.

Subscription

You subscribe to shares in the project company. The subscription agreement and the shareholder agreement set out your rights, the distribution rules and the exit terms.

Construction

Elper designs and builds the villas with its own teams and reports on progress. Your capital funds the build, milestone by milestone.

Rental operations

Once delivered, the villas are rented and managed by Elper. Licensing, pricing, staffing and guest operations are handled in-house.

Distributions

Net rental income is distributed to shareholders in proportion to their stake, on the schedule written in the shareholder agreement.

Exit

You exit by selling your shares to another investor, or by receiving your share of the proceeds when the vehicle is closed at the end of its term.

How the money comes back to you.

Rental income distribution

The project company collects the rental income, pays the operating costs (staff, maintenance, marketing, taxes, management fee) and distributes the net result to shareholders in proportion to their shares. The frequency and the rules are written in the shareholder agreement, not left to interpretation.

Quarterly reporting

Every quarter you receive a statement covering occupancy, gross income, operating costs and the net result, plus what we plan for the next period. This is the same reporting our villa owners receive, extended to every investor in the vehicle.

Investment horizon

A project company is set up for a defined term, stated in the documents before you subscribe. Rental income is distributed during the term. The value of the asset is realised when the vehicle is closed or the property is sold.

Two ways out

Sell your shares to another investor, with the other shareholders and Elper as the natural first buyers, or receive your share of the proceeds when the vehicle is closed at the end of its term.

What can go wrong, and how we handle it.

Rental income depends on occupancy and nightly rates, which move with the season and the market. Distributions follow the real result of each period, not a promised figure.

Income varies

Shares in a private company are less liquid than a listed asset. Exiting before the end of the term depends on finding a buyer, which is why the documents set out how a transfer works.

Liquidity is limited

Construction can run late and capital is not guaranteed. We build with our own teams, pay by milestone and report every quarter so that you see problems when we see them.

Questions investors ask about the vehicle.

No. You own shares in the company that owns the project. That company holds the land rights and the villas and runs the rental business. Your rights as a shareholder, including your share of the income and of the proceeds at exit, are set out in the shareholder agreement.

The minimum ticket on the project open today is IDR 1,000,000,000 (one billion rupiah). The minimum ticket is set per project and stated in the investor file.

Once the villas are delivered and rented. During construction there is no rental income, and the quarterly report covers the progress of the build instead. From the first rental period, distributions follow the schedule in the shareholder agreement.

Yes, by selling your shares. The other shareholders and Elper Development are the natural first buyers, and the shareholder agreement describes how a transfer is valued and approved. There is no guarantee of a buyer at a given date, which is why we ask investors to consider the full term before subscribing.

Buying a villa gives you a property right in your own name (usually a registered leasehold), full control of the asset and the full result of its rental. Investing through the project company gives you a smaller ticket, no local structure to set up and no operational involvement, in exchange for a share of the result and a defined term. Both routes are managed by the same team; we help you choose based on your budget and how involved you want to be.

No. Your investment is a shareholding in the project company set up by Elper Development, under the documents we provide. We recommend that you take independent legal and tax advice in your country of residence before subscribing, and we answer every question your adviser raises.
